A Certificate of Amendment is a legal document that a corporation must complete indicating any changes made to the organization. When a company needs to edit, add to, or delete information on its original formation documents, the state requires that the company complete a Certificate of Amendment.
Some of the changes that will require a corporation to complete a Certificate of Amendment are, change in the registered business name, change in the type of business, change in company’s stock, and change in the company’s Articles of Incorporation or Certificate of Incorporation.
Depending on the state, you might be required to visit the secretary of state to know if your stare requires a statement on the officers’ shareholders’ vote.
